The scope of services and deliverables will be detailed in a separate contract or proposal agreed upon by both parties.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information for the design and development of your website.
  • Respond to any requests or communications from us in a timely manner to avoid delays in the project.
  • Ensure that you hold all necessary rights or licenses to the content (images, text, logos, etc.) that you provide to us for your website.
  • Review and approve the design and functionality of the website at various stages of development as requested by us.

4. Payment Terms

  • All payments for services are due as specified in the proposal or contract.
  • A deposit of 50% is required upfront before work begins, with the remaining balance due upon project completion or as otherwise specified in the agreement.

  • Late payments may incur additional fees as outlined in the agreement.

5. Intellectual Property

  • Upon full payment, you will receive ownership of the final design and content, subject to any third-party software licenses or content that we may use in your project.
  • We retain the right to showcase the website as part of our portfolio or for marketing purposes unless you explicitly request otherwise in writing.
  • You agree not to use or claim ownership of any proprietary elements of the design (such as code or templates) that were developed by Tom Dier Design for other projects.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. This includes business, technical, and financial details that are not publicly available.

7. Limitation of Liability

  • In no event shall Tom Dier Design be held liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the website.
  • We are not responsible for any loss of data, profits, or business interruption resulting from the use of our services or the website.
  • Our total liability to you is limited to the total amount paid by you for the specific services provided.

8. Term and Termination

  • These Terms will remain in effect until the completion of the services or until terminated by either party.
  • Either party may terminate the agreement if the other party breaches a material term and fails to cure the breach within a reasonable period after notice.
  • In case of termination, you are still responsible for any fees owed for work completed up to that point.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tom Dier Design, its employees, contractors, and affiliates from any claims, losses, liabilities, or damages (including legal fees) arising out of your use of our services or any violation of these Terms.

10. Governing Law

These Terms and Conditions will be governed by and construed in accordance with the laws of Canada. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Canada.
